General Forwarding Conditions
Summary of the general forwarding conditions (VZP) of DMF express s.r.o., effective from 5 October 2023. The binding version is the Slovak original.
The general forwarding conditions (VZP) of DMF express s.r.o. supplement §§ 601 - 609 of the Slovak Commercial Code on the forwarding contract and are based on the general forwarding conditions of the Association of Logistics and Freight Forwarding of the Slovak Republic (ZLZ SR). They are issued in Slovak. The legally binding version is the Slovak original. The summary below is provided for convenience only.
Key points
- Scope. The VZP apply to domestic and international forwarding where they form part of the forwarding contract. Deviating provisions of the individual contract take precedence.
- Contract. The forwarding contract is concluded by unconditional acceptance of the order (forwarding instruction) and is in writing, including electronic form, unless agreed otherwise.
- The forwarder arranges carriage in its own name and on the customer’s account with professional care, may choose the mode of transport and the carrier, may perform the carriage itself unless the customer forbids it, and insures the consignment only on express instruction.
- The customer must provide correct information on the goods - type, quantity, packaging, dimensions, weight, whether they are dangerous goods under ADR/RID - and on applicable customs and permit requirements.
- Liability. The forwarder’s liability is limited; for damage during carriage it is capped at EUR 50,000 per claim, for delay at the agreed freight charge, and for storage at 3.925 SDR per kg (max. 3,925 SDR per consignment). Loss of profit and indirect damage are excluded except in case of intent. A higher limit can be agreed for high-value goods.
- Payment. Invoices are due within 15 days of issue unless agreed otherwise and must be accompanied by the CMR and delivery notes. Late payment: contractual penalty of EUR 25 per day excl. VAT, second and further payment reminders EUR 100 each, and default interest of 0.05 % per day (18.25 % per year) after 7 days.
- Lien. The forwarder has a right of retention over the consignment to secure its claims.
- Governing law. Slovak law, unless the parties expressly choose another law in writing in the order.
- Effective date. The VZP are effective from 5 October 2023.
